We are raising financing for the first programmes of the platform.
- Two anchor programmes run in parallel: (A) an integrated Swiss healthcare network expanding to the Gulf and Europe, and (B) a majority investment in a leading independent European accounting & advisory network.
- Two enabling programmes: a proprietary technology layer (ERP, billing and capital-management tools) and a healthcare real-estate company holding the clinic premises.
- One SPV per programme: financing can back the whole platform or a single programme.
- Built IPO-ready from day one (IFRS, Big 4 audit, listed-company governance). IPO remains an option, never an obligation.
- First closing targeted H1 of next year; closings are modular (one programme or several).
- Company is an investment holding company: it carries out no activity subject to authorisation and provides no investment services. Licences are held at operating-company level where the sector requires them: cantonal health authorisations for our medical practitioners and clinics, and professional registrations for accounting and fiduciary services.
Images. We have added a programme visual to each of our listings.
- The holding itself is not required to register with the Swiss financial regulator, as it provides no financial services to third parties. Our raise is addressed to professional and qualified investors mainly, and is structured with legal counsel accordingly.
1) Real operating businesses in recurring, non-cyclical sectors: healthcare, accounting, payroll, corporate and advisory services.
2) A shared technology and back-office layer that lowers each company's running cost and makes every acquisition faster to integrate.
3) A permanent-capital structure that lets the group compound over decades instead of selling every five years.
One global project, built brick by brick: each programme (healthcare network, European accounting & advisory platform, technology platform, healthcare real estate) is a self-standing building block of the same group. Each brick is proven in Switzerland first, then replicated country by country.
Target countries were selected strategically, by affinity: each one already connects to an existing group company, a shared language or a planned development.
- Switzerland: reference model and home market.
- Luxembourg: EU holding hub and financial centre.
- France, Belgium, Monaco, Spain: French/Spanish-speaking markets and footprint of the professional-services programme.
- Portugal: Lusophone gateway to Brazil.
- United Arab Emirates (Dubai): existing healthcare entity, gateway to the GCC and international patients.
- Phase 3: Canada (Quebec), Brazil, United States.
Acquisition criteria: established, profitable companies with stable recurring revenue and clear efficiency potential once connected to the group platform.
Two tracks per SPV: a long track (10-12 years, 6% preferred return) and a short track (preferred shares, 8-10% coupon, 1.5x floor, buyback by the Sponsor from year 3, in tranches).
Prudential limits: net debt below 3x EBITDA, DSCR above 1.5x, 12-month debt-service reserve.
Liquidity through dividends, buyback windows and secondary transfers - no put, no forced sale.
Group structure:
- Permanent-capital holding company controlled by the Sponsor.
- One dedicated SPV (Swiss SA or local equivalent) per programme; acquisition debt is carried at SPV level, ring-fenced from the other programmes.
