Content material: The buyer would gain access to the entire content for classes 6 to 12, including video lectures, study materials, and a database of over 5 lakh quizzes.
Teaching PowerPoint presentations: The buyer would receive teaching PowerPoint presentations specifically designed for classes 8th to 12th. These presentations can be used by teachers for effective classroom instruction.
Intangible Assets:
App and website: The buyer would acquire ownership of the existing educational app and website developed by the business. This includes all the associated intellectual property, code, and design elements.
Intellectual property: The buyer would obtain the intellectual property rights to the content material, teaching PowerPoint presentations, and any other proprietary materials developed by the business.
Branding and Merchandise: The buyer would gain ownership of the brand identity, including any trademarks or logos associated with the business. They would also receive any existing merchandise used for branding purposes.
Customer database: The buyer would receive the existing customer database, including user profiles, contact information, and any relevant data collected by the business.
Maintenance services: The buyer would be entitled to 12 months of free website and app maintenance services. This ensures the smooth functioning and updates of the digital platforms. This would be provided by our technology/developer partner.
Private Limited entity registered as a Section 8 company and NGO licenses, account on NGO Darpan (a government portal for NGOs), 80G (tax exemption for donors) and 12A (exemption of income tax) certifications. We were operating from a home-based setup since it is a cost-effective option for startups in the early stages, allowing for flexibility and minimizing overhead expenses associated with renting or leasing a dedicated space. Number of shareholders/owners: There are two directors in the business.
Percentage ownership: One director holds 99% of the shares, indicating a majority ownership stake in the company. The other director holds 1% of the shares.
