I served as the director of a security services company. I am interested in investment opportunities that align with my industry knowledge. I prefer businesses in Thailand, as the location is not a constraint.

Acquiring / Buying a Business

I am looking for a jewellery manufacturing and export business and would like to express my interest in learning more. The business should have a solid international reputation, with established B2B relationships across the UK, Europe, and other markets, and I would like to understand the opportunity in greater depth before proceeding. I prefer a business that is SMETA-audited, works with RJC- and LBMA-certified refineries, and holds an export license.
I have a few questions to help assess the opportunity further:
1. Financial & legal structure - I seek clarification on what type of entity the business is registered as (Thai Co. Ltd. , partnership, so on) and whether foreign ownership is permitted or would require a Thai shareholder structure? Seeking information in more detail on the liability, what it consists of (for example, creditor loans, supplier debts, taxes, and so on) and repayment terms? Are there any other encumbrances or guarantees that the buyer would assume beyond this liability? Is the business currently in good legal standing with the Department of Business Development (DBD) and the Thai Revenue Department?
2. Financial performance - Looking for recent financial statements or management accounts (ideally last 12-24 months). The recent annual turnover and net profit/loss trend. How are the upcoming orders being financed and managed, given the current liabilities?
3. Assets & operations - Are all assets (including the tools) fully owned by the company, or are any under lease/financing? With the current office lease expiring in a few months, would there be support in relocating or transferring the operating license to a new address?
4. Clients & continuity - Would client relationships and supplier contacts be formally transferred to the buyer? Is there an operations manual or design catalogue that supports business continuity? Are any key staff expected to remain post-sale?
5. Transition & compliance -
Given that I am an EU citizen based in London, looking for advice on how foreign buyers typically structure ownership for such a business in Thailand (for example, through a Thai limited company, joint venture, or local nominee arrangement). Is the export license transferable to a new owner, or would a new one need to be obtained? Finally, confirm whether the asking price includes all assets and liabilities as described, and the arrangement where the buyer acquires assets but not the liabilities. I would be happy to sign a non-disclosure agreement (NDA) if required before reviewing any financial or legal documents.
