I need an NDA and any available confidential information memorandum, financial package, or supporting documentation for the business. I would like to review the company’s historical financial statements and tax filings, current year-to-date performance, monthly sales, customer composition and concentration, supplier relationships, inventory, equipment and other assets included in the transaction, employee structure, leases, licenses and regulatory approvals.
I would also like information regarding the proposed transaction structure and confirmation of precisely which tangible and intangible assets, registrations, customer relationships, intellectual property and operating rights transfer with the acquisition. I would also like to review the composition of the 30+ HoReCa accounts referenced in the listing, including historical sales by account and the nature and duration of any existing supply agreements.
