Clean financials - At minimum 3 years of consistent records. Add-backs above 20% of SDE get scrutinised hard.
Seller willing to finance part of the deal — it signals they believe in the business post-sale.
Asset-light or capex-light models - I prioritise cash generation over asset accumulation.
