Key factors I look for include:
1. Consistent revenue and profitability over the past 3 years.
2. Positive operating cash flow with clean and verifiable financial records.
3. Recurring or repeat customers, preferably B2B or SME clients.
4. Low customer concentration and diversified revenue sources.
5. A capable team or manager who can remain after completion.
6. Limited dependence on the existing owner.
7. Clear documentation of contracts, licenses, staff costs, leases, and liabilities.
8. Reasonable valuation based on normalized earnings or free cash flow.
9. Seller willingness to support a smooth transition for 6–12 months.
10. Openness to a sensible deal structure, including deferred consideration, seller note, earnout, or performance-based component. I am especially interested in service businesses such as accounting, company secretarial, payroll, corporate services, property services, cleaning, maintenance, elderly care, healthcare-related services, or other asset-light businesses with stable recurring income. I prefer businesses with simple operations, low capital expenditure requirements, good compliance history, and opportunities to grow through better sales, cross-selling, technology, or professional management.
