Fee Details
Engagement Structure
Our fee philosophy is built on a "Partnership First" approach. We align our incentives with the successful closure of the transaction and the maximization of value for our clients. Our standard engagement consists of two components:
Commitment Fee (Retainer): A nominal upfront fee to cover the costs of high-quality collateral preparation (Information Memorandum, Financial Modeling, and Teasers) and initial outreach.
Success Fee: A percentage-based commission payable only upon the successful execution of the transaction (Fundraising, M&A, or Joint Venture).
Fee Inclusions
Our fee covers the end-to-end transaction lifecycle, including:
Valuation & Strategy: Comprehensive business valuation and exit/investment strategy.
Investor/Buyer Matchmaking: Leveraging our global network and SMERGERS' premium reach.
Negotiation Support: Leading the term sheet and definitive agreement negotiations.
Due Diligence Coordination: Managing the virtual data room and liaising with legal/tax auditors.
General Terms
Exclusivity: We typically work on an exclusive basis for a period of 6–12 months to ensure dedicated resources.
Tail Provision: A standard 12-month tail period applies to any leads introduced by our firm during the engagement.
Expenses: Out-of-pocket expenses (if any, such as site visits or specialized third-party legal fees) are pre-approved by the client and billed at actuals. -
