Unclear or Unprotected IP: If the value sits in proprietary knowledge or software but is not formally documented or protected, buyers will question what they are actually acquiring. Regulatory or Legal Exposure: Pending litigation, compliance gaps, unresolved HMRC issues, or reliance on regulations that may change.
