  • Investment Criteria

    Regulatory Compliance & RBI Status.
    We prioritize NBFCs that are fully compliant with RBI norms, including valid registration, proper filing of returns, and clean audit reports. RBI’s approval for takeover is critical, so we seek businesses with no pending regulatory issues.
    Net Owned Fund (NOF) Position.
    We look for NBFCs that meet or exceed the required NOF (₹10 crore as per recent RBI guidelines) to ensure eligibility for continued operations and scalability.
    Loan Book Quality.
    The asset quality, including the portfolio at risk (PAR), NPA levels, and credit discipline of borrowers, is a major factor. We prefer NBFCs with a performing and diversified loan book.
    Financial Health & Profitability.
    We assess the profitability, cash flow, capital adequacy ratio (CAR), and operating efficiency. A clean balance sheet and consistent financial performance are indicators of stability.
    Type and Scope of License.
    We examine the type of NBFC license—whether it's asset finance, microfinance, infrastructure finance, or investment NBFC—to match our strategic focus.
    Geographical Presence and Reach.
    We prefer businesses with an established operational presence in our target regions, which can support faster integration and expansion.
    Technology and Systems.
    A strong IT infrastructure, including loan management systems, data security, and digital capabilities, is a strong plus for operational efficiency and future scalability.
    Human Resource & Governance.
    Experienced management and staff, strong internal controls, and transparent governance practices are crucial to ensure a smooth transition and continued performance.
    Brand Reputation and Customer Base.
    A positive reputation in the market and a loyal customer base add value and reduce post-acquisition challenges.
    Scalability and Strategic Fit.
    We assess how well the NBFC aligns with our existing business goals, growth plans, and whether it offers room for innovation and expansion.
