Avoid:
4. Heavy founder dependency with no succession, weak compliance/tax hygiene, unresolved regulatory issues, volatile project-only revenue, and high churn.
5. Deal comfort:
KL/Selangor-based teams 4–8 FTE; RM1–5M annual revenue; valuation linked to fee retention; 60/40 upfront–earnout structure.
