Legal & ownership: - Who is the legal owner of the property/business? An LLP with 15 partners. - Is the business being sold as an asset sale or a company share sale? Company share sale. - Is there a clear title to the property (if owned) or a valid lease agreement (if rented) ? Yes. There is a registered rental agreement in place that has to be renewed by July. - Are all licenses and permits transferable? Yes, but if it is a company share sale, there is no transfer needed. Only periodic renewals. Licensing & compliance: - Does the business have all required licenses? Yes. All required compliance license are taken and up to date. Liquor license (CL9 or applicable Karnataka license). CL9 and RBV are rented and need to be renewed with the license owner by June 25th. - FSSAI license. Yes. - Trade license from BBMP. Yes. - Fire safety clearance. Building had this as we are inside an IT park and the fire safety is done by them. - Pollution control certificate. Building has the same and is valid for our business. - GST registration and Shops & Establishment registration. Yes. - Are the licenses current or near expiry? Only liquor license is up for renewal by June 25th, like all licenses in Karnataka. And rental agreement to be renewed by July. Rest are up to date. - Have there been any past violations or fines? No. 100% compliant on all fronts. Location & Lease: - What is the monthly rent and duration of the lease? INR 10 lakh + GST 5 year lease renewable this July. - Is there an option to renew? Yes: - What are the terms of subletting or transferring the lease? Transfer is possible, subletting is not possible. - Are there any zoning issues or redevelopment plans nearby? No. There are 2 more reastaruants (with liqour) coming up in the same space inside the IT Park. Operations: - How many employees are there, and what are their roles/salaries? 40 employees and Salaries with ESI & PF approx. 14 lakhs. - What are the inventory levels (alcohol, food, equipment) ? Alcohol - INR 6-7 Lakhs. Food - INR 1.5 Lakhs. Equipment - purchase price INR 4 Cr. It’s a fully functional running restaurant, with all equipment purchased in March last year from Kitchenwhiz. - What is the condition of kitchen equipment and bar infrastructure? All in mint condition. - Is the business systematized with SOPs, inventory control, POS systems? Yes. Digitory is our POS. Brand & reputation: - Is the brand name included in the sale? Yes. The brand has a good recall and value. - Does the business have an online presence (Zomato, Swiggy, Instagram, Google Reviews) ? Yes. The bar is reviewed on a google search. - What is the current rating and customer feedback? 4.3/5 on Google. Not concentrated on Swiggy and Zomato as delivery is hardly 1% of the total business currently. - Is there any ongoing litigation or social media backlash? No. Reason for Sale: - Why is the owner selling the business? Partners discord. - How long has the current owner been running it? From inception in Jan last year. - Have there been recent changes in ownership or management? No. Post-sale transition: - Will the current owner provide transition support. Yes. They will be there to help. - Are existing staff willing to stay post-sale? Yes, they are attached to the brand. - Are vendor and supplier relationships transferable? Yes.
